SaaS Terms
Subscription-specific terms governing Compliance Software and Payroll Software.
These SaaS Terms supplement and are incorporated into our Terms of Service and govern your paid subscription to Compliance Software and/or Payroll Software (together, the "Software Services"). Capitalized terms not defined here have the meaning given in the Terms of Service. In the event of a direct conflict between these SaaS Terms and the Terms of Service concerning your subscription, these SaaS Terms control.

1. Products and Plans
We offer two Software Services, each available at two plan tiers:
- Compliance Software — available as Compliance Basic or Compliance Pro;
- Payroll Software — available as Payroll Essential or Payroll Premium.
Compliance Software and Payroll Software may be subscribed to independently or together. The features, limits, and functionality available to your account are determined by the specific plan(s) your organization has an active subscription to, as reflected in your account.
2. Plan Entitlements and Limitations
Each plan tier unlocks a defined set of features. Higher tiers (Compliance Pro, Payroll Premium) include capabilities not available on the corresponding lower tier (Compliance Basic, Payroll Essential), such as expanded document management, additional user roles, or dedicated portal access for personnel, as described on our pricing page at the time of purchase. We do not guarantee access to a higher tier's functionality unless your organization holds an active subscription to that tier. Features may be added, changed, or retired from a given plan from time to time; where a change materially reduces functionality you have paid for, we will provide reasonable notice where practicable.
The Software Services do not currently include a publicly available developer API as part of any plan. If an API product is introduced in the future, it will be offered under separate terms and will not be treated as included in existing plan entitlements unless we expressly state otherwise.
3. Billing Intervals, Renewal, and Payment
Subscriptions are billed in advance on the interval selected at checkout (such as monthly or annually) and are processed through Stripe, our payment processor. Unless canceled before the end of the current billing period, subscriptions automatically renew for successive periods of the same length at the then-current price. By subscribing, you authorize us to automatically charge the payment method saved to your account (a card or, where supported, a bank ACH account) on each billing date, without requiring you to separately approve each individual charge. You are responsible for keeping a valid payment method on file for as long as your subscription remains active. Fees are non-refundable except as expressly stated in these SaaS Terms or as required by applicable law.
Software Subscription Fees are separate from Compliance Service Fees. Software Subscription Fees are the recurring charges described in this Section 3 for your use of Compliance Software and/or Payroll Software. Compliance Service Fees are amounts a carrier or other customer of yours may owe your organization for compliance services you provide them, billed through the separate Autopay/Payment Gateway feature available to Compliance Pro accounts. We never use your Software Subscription payment method to collect a Compliance Service Fee, and enabling Autopay for your carriers does not change how your own Software Subscription is billed.
Once a Software Subscription payment is successfully collected, we generate an official invoice for that payment under our own billing company name and branding, using the invoice template then in effect. That generated invoice is our authoritative record of the charge for your account; it remains available in your billing history for as long as your account exists, even if the invoice template is later changed or your subscription is later canceled or refunded.
4. Payment Failures, Retry, and Access Restriction
If an automatic renewal payment fails, your account enters a past-due state. While past due, you may retry the payment using your existing saved payment method, or replace it with a different payment method and then retry the payment, both from within your account's Subscription settings. We do not require you to remove a failed payment method before adding a replacement; while a subscription is active, we require a valid payment method to remain on file, so a payment method cannot be removed if it is the only one on file and doing so would leave the subscription without one.
If a past-due payment remains unpaid for three (3) calendar days after its billing due date, we may restrict your organization's access to the paid functionality of the affected Software Service until payment is resolved. This restriction does not delete your account, your organization, your users, or any Customer Data, invoices, or historical records, and it does not prevent you from logging in. While restricted, you can still log in and reach your account's Settings, Subscription, and Payment Method pages, view your billing history and invoices, retry payment, change your payment method, and contact support — specifically so that you can resolve the payment issue and restore access yourself. Access is restored automatically once payment is successfully collected, without requiring you to contact us. If the failure continues beyond a further reasonable period, we may terminate the subscription as described in Section 12.
5. Plan Changes, Upgrades, and Downgrades
You may upgrade your plan at any time, with the new plan's features becoming available upon confirmation of the change; upgrade charges may be prorated for the remainder of the current billing period. You may downgrade your plan or remove a Software Service at your next renewal date; downgrading may result in the loss of access to higher-tier features, and functionality that depends on a higher tier (such as a dedicated personnel portal available only on Payroll Premium) will no longer be available once the downgrade takes effect. We do not provide Premium or Pro functionality to accounts subscribed only to a lower tier.
6. Cancellation and Suspension
You may cancel a subscription at any time from within your account or by contacting us; cancellation takes effect at the end of the then-current billing period, and access to the applicable Software Service continues through that period, with no further charges after that period ends. Canceling a subscription is not the same as deleting your account. Canceling stops future billing for the applicable Software Service; it does not delete your organization, your users, your Customer Data, or your billing history and invoices, all of which remain available in accordance with our Privacy Policy so that service can resume if you resubscribe. Deleting your account entirely is a separate, explicit action available to an account administrator, described in Section 8. Where a subscription combines more than one Software Service on a single underlying billing subscription, canceling affects every Software Service billed under that same subscription together, as disclosed to you at the time of cancellation.
If a payment already collected is later refunded, we do not delete or alter the original invoice issued for that payment; instead, the invoice's status is updated to reflect the refund (in whole or in part), and both the original invoice and the refund remain part of your permanent billing history.
We may suspend or terminate your access for non-payment, violation of the Terms of Service or these SaaS Terms, or conduct that we reasonably believe poses a security or legal risk to us, other customers, or third parties.
7. Authorized Users and Configuration
You are responsible for creating, assigning roles to, and deactivating the authorized users on your account, and for the accuracy of the configuration choices you make, including role permissions, company structure, and workflow settings. We are not responsible for consequences arising from user permissions or configurations that you or your authorized users set up.
8. Data Ownership, Export, and Deletion
As between you and 3 Times Logistics, you own the Customer Data you submit to the Software Services. While your subscription is active, you may access and export the data associated with your account through the features made available within the Software Services. An account administrator may request permanent deletion of your organization's account and associated data; we will process such a request subject to any outstanding balance and applicable legal retention requirements described in our Privacy Policy. We do not currently offer a separate, independently executed Data Processing Addendum; if your organization requires one, contact us to discuss your specific requirements.
9. Responsibility for Employee and Contractor Information
Where you use Payroll Software or Compliance Software to store or process information about your own employees, contractors, drivers, or other personnel, you are solely responsible for the accuracy of that information, for classifying workers correctly, for meeting all applicable payroll tax, wage-and-hour, and employment law obligations, and for providing any notices or obtaining any consents required by applicable law before entering personal information about those individuals into the Software Services. The Software Services are tools to help administer payroll and compliance recordkeeping; they do not determine worker classification or regulatory compliance on your behalf, and their use does not itself satisfy any legal or regulatory obligation you may have.
10. Availability, Updates, and Security
We aim to maintain reasonable availability of the Software Services and may perform scheduled maintenance or updates from time to time, which may result in brief periods of downtime. We apply administrative, technical, and organizational safeguards to protect Customer Data as described in our Privacy Policy, and we maintain reasonable backup practices for the data underlying the Software Services; however, you should maintain your own copies of critical documents and records where practicable.
11. Third-Party Integrations
Certain plans may support connecting supported third-party services. Enabling an integration authorizes the exchange of relevant data with that third party in accordance with your configuration, and your use of the third-party service remains subject to that provider's own terms. We are not responsible for the availability, accuracy, or performance of third-party integrations.
12. Termination
We may terminate your subscription to a Software Service for the reasons described in Section 6 or in the Terms of Service. Upon termination for cause, no refund will be provided for the remainder of the then-current billing period, except as required by applicable law. Upon termination for any reason, your right to access the affected Software Service ends, though your account and Customer Data will continue to be retained in accordance with our Privacy Policy unless you separately request deletion.
