Terms of Service
The terms that govern your use of our website, professional compliance services, and software Services.
These Terms of Service ("Terms") are a binding agreement between you and 3 Times Logistics LLC ("3 Times Logistics," "we," "us," or "our"), a Texas limited liability company operating from Houston, Texas. These Terms govern your access to and use of our website, our professional trucking compliance services, and our Compliance Software and Payroll Software subscription products (together, the "Services"). If you use the Services on behalf of a business or other entity, "you" refers to that entity and the individual accepting these Terms represents that they are authorized to bind it.
Where you have subscribed to Compliance Software and/or Payroll Software, the separate SaaS Terms also apply to your subscription and are incorporated into these Terms by reference; in the event of a direct conflict between these Terms and the SaaS Terms concerning your subscription, the SaaS Terms control for that subject matter.

1. Acceptance of Terms
By accessing or using our website, requesting our compliance services, or registering for or using Compliance Software or Payroll Software, you agree to be bound by these Terms. If you do not agree, do not use the Services.
2. Eligibility
The Services are intended for business use. You must be at least 18 years old and have the legal capacity to enter into a binding contract to use the Services, and, if registering on behalf of a business, you must have authority to bind that business to these Terms.
3. Accounts, Registration, and Security
To use Compliance Software or Payroll Software, you must register for an account and provide accurate, current, and complete information. You are responsible for safeguarding your account credentials and for all activity that occurs under your account. You must notify us promptly of any unauthorized access to or use of your account. We are not liable for any loss or damage arising from your failure to protect your account credentials or from unauthorized access resulting from your failure to do so.
4. Company Accounts, Authorized Users, and Tenant Access
A business that subscribes to the Services (a "Customer") may invite additional individuals as authorized users of its account and assign them roles and permissions within the Services. The Customer is responsible for determining which individuals it authorizes to access its account, for the actions those individuals take, and for promptly removing access for individuals who should no longer have it, such as former employees or contractors. Each Customer's data is maintained separately from other Customers' data, and access is controlled through the roles and company memberships configured for that Customer's account. Customers may not attempt to access another Customer's account or data without authorization.
5. Acceptable Use
You agree not to: (a) use the Services for any unlawful purpose or in violation of any applicable law or regulation; (b) upload or transmit any content that infringes the intellectual property or other rights of any third party; (c) attempt to gain unauthorized access to the Services, other users' accounts, or our systems or networks; (d) interfere with or disrupt the integrity or performance of the Services; (e) reverse engineer, decompile, or disassemble the Services except to the extent such restriction is prohibited by applicable law; (f) use automated means to scrape, extract, or access the Services beyond normal use; (g) resell, sublicense, or provide access to the Services to any third party except as expressly permitted under the applicable subscription plan; or (h) use the Services to store or transmit malicious code. We reserve the right to investigate and take appropriate action, including suspension or termination, against anyone who violates this section.
6. Software License and Access
Subject to your compliance with these Terms and, where applicable, the SaaS Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable right to access and use the Services during your subscription term, solely for your internal business purposes. No ownership interest in the Services is transferred to you. All rights not expressly granted are reserved by 3 Times Logistics.
The Services currently do not include a publicly available developer API. If we introduce an API or developer-facing product in the future, its use will be governed by separate terms made available at that time.
7. Intellectual Property
The Services, including their software, design, text, graphics, logos, and underlying technology, are owned by 3 Times Logistics or our licensors and are protected by intellectual property laws. Except for the limited rights expressly granted in these Terms, no rights are granted to you in our intellectual property. Any feedback or suggestions you provide about the Services may be used by us without restriction or obligation to you.
8. Customer Data and User Content
As between you and 3 Times Logistics, you retain all rights to the business data and content you or your authorized users submit to the Services ("Customer Data"), including information about your own personnel, contractors, drivers, carriers, vendors, or investors. You grant us the right to host, process, transmit, and display Customer Data solely as necessary to provide, secure, support, and improve the Services, and as otherwise permitted by our Privacy Policy and, where applicable, the SaaS Terms. You are solely responsible for the accuracy, quality, and legality of Customer Data and for having all rights, consents, and notices necessary to submit it to the Services.
9. Uploaded Documents
The Services allow you to upload documents such as compliance records, insurance certificates, driver and vehicle documentation, and payroll or tax records. You represent that you have the right to upload such documents and that doing so does not violate any third party's rights or any applicable law. You are responsible for maintaining your own copies of any documents you upload.
10. Third-Party Services and Integrations
The Services may allow you to connect certain supported third-party integrations. Your use of any third-party service is subject to that provider's own terms and privacy practices, and we are not responsible for the acts, omissions, or availability of third-party services. Payment processing is provided by Stripe, subject to Stripe's own terms.
11. Subscriptions, Pricing, Billing, and Taxes
Paid subscriptions to Compliance Software and Payroll Software are governed by these Terms together with the SaaS Terms, which describe plan entitlements, billing intervals, renewal, upgrades and downgrades, payment failures, and cancellation in detail. You are responsible for all applicable taxes associated with your subscription, other than taxes based on our net income. All fees are billed and processed through Stripe.
12. Term, Suspension, Termination, and Cancellation
These Terms remain in effect for as long as you use the Services. We may suspend or terminate your access to the Services, in whole or in part, if we reasonably believe you have violated these Terms, failed to pay applicable fees, or engaged in conduct that harms us, other users, or third parties, or that exposes us to legal liability. You may cancel a paid subscription as described in the SaaS Terms, and you or an authorized administrator on your account may request deletion of your account and associated data, subject to any outstanding balance and the retention practices described in our Privacy Policy. Sections of these Terms that by their nature should survive termination, including Sections 7, 8, 14 through 18, will survive.
13. Service Availability, Changes, and Maintenance
We strive to maintain the availability of the Services but do not guarantee uninterrupted or error-free operation. The Services may be temporarily unavailable for scheduled maintenance, updates, or due to circumstances outside our reasonable control. We may modify, update, or discontinue features of the Services from time to time; where a change materially reduces functionality you have paid for, we will provide reasonable notice where practicable.
14. Customer Responsibility for Compliance and Payroll Decisions
The Services are tools to help you manage compliance documentation, driver and fleet records, and payroll processing. They are not a substitute for professional legal, accounting, tax, or compliance advice, and use of the Services does not guarantee compliance with any law or regulation, including DOT, FMCSA, wage-and-hour, tax, or other employment and transportation regulatory requirements. You remain solely responsible for: the accuracy of information you enter into the Services; decisions regarding hiring, classification of workers as employees or independent contractors, compensation, and termination; payroll tax withholding, reporting, and remittance obligations; required regulatory filings and recordkeeping; and compliance with all laws applicable to your business, including motor carrier safety regulations. You should consult qualified professionals regarding your specific legal, tax, and compliance obligations.
15. Disclaimers
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT THEY WILL MEET YOUR REQUIREMENTS OR ENSURE COMPLIANCE WITH ANY LAW OR REGULATION. SOME JURISDICTIONS DO NOT ALLOW CERTAIN WARRANTY DISCLAIMERS, SO SOME OF THE ABOVE EXCLUSIONS MAY NOT APPLY TO YOU.
16. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL 3 TIMES LOGISTICS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES WILL NOT EXCEED THE AMOUNT YOU PAID TO US FOR THE SERVICES GIVING RISE TO THE CLAIM IN THE TWELVE MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY. THESE LIMITATIONS APPLY TO THE FULLEST EXTENT PERMITTED BY LAW AND WILL NOT LIMIT ANY LIABILITY THAT CANNOT LAWFULLY BE LIMITED, INCLUDING LIABILITY FOR GROSS NEGLIGENCE, WILLFUL MISCONDUCT, OR OTHER LIABILITY THAT APPLICABLE LAW DOES NOT PERMIT US TO EXCLUDE OR LIMIT.
17. Indemnification
You agree to defend, indemnify, and hold harmless 3 Times Logistics and its officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or related to: your use of the Services in violation of these Terms; your violation of any applicable law; Customer Data or content you submit; or your negligence or willful misconduct, except to the extent caused by our own breach of these Terms or violation of applicable law.
18. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of Texas and applicable United States federal law, without regard to conflict-of-laws principles, except that if you are a consumer residing outside the United States, mandatory consumer protection or data protection laws of your country or state of residence that cannot be waived by agreement will continue to apply to the extent required by that law. Nothing in this Section is intended to deprive you of protections you cannot lawfully waive under the law of your jurisdiction.
Before initiating a formal legal proceeding, you agree to first contact us using the details in Section 20 so that we may attempt to resolve the dispute informally. Subject to the foregoing and to any non-waivable rights you may have, any dispute arising out of or relating to these Terms or the Services that cannot be resolved informally will be subject to the exclusive jurisdiction of the state and federal courts located in Harris County, Texas, and each party consents to personal jurisdiction and venue in those courts.

Severability. If any provision of these Terms is held unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will remain in full force and effect.
Waiver. Our failure to enforce any right or provision of these Terms will not be considered a waiver of that right or provision.
Assignment. You may not assign or transfer these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
Entire Agreement. These Terms, together with the SaaS Terms, Privacy Policy, and Cookie Policy where applicable, constitute the entire agreement between you and 3 Times Logistics regarding the Services and supersede any prior agreements on the same subject.

Beta Features. From time to time we may make experimental or beta features available. Such features are provided "as is," may be modified or discontinued at any time, and are not subject to the same availability commitments as generally available features.
Changes to These Terms. We may update these Terms from time to time. We will revise the "Last Updated" date above when we do, and, for material changes, provide additional notice where appropriate. Your continued use of the Services after revised Terms take effect constitutes acceptance of the changes.
